Before You Start

Before a transfer can proceed, the current sublease holder must provide information relating to the property's buildings, structures, approvals and compliance records. Where historical documentation is unavailable, assessments may be required from appropriately qualified building practitioners and licensed trades. 

This information forms the basis of the pre-transfer inspection process undertaken by NCL.

Steps for Pre-Sublease Transfer Inspection

Step 1 – Apply for a Pre-Sublease Transfer Inspection

The seller (or current sublease holder) must submit a Pre-Sublease Transfer Inspection Report Application to Nhulunbuy Corporation Limited, including:

  • Completed application form
  • Supporting documentation
  • Applicable fees

NCL will review the submission and inspect the property to verify structures, identify any outstanding issues, and assess compliance with sublease obligations. 

What NCL Reviews

  • Property records and supporting documentation
  • Existing structures on the lot
  • Outstanding arrears
  • Encroachments
  • Alignment between approved records and site conditions

If issues are identified, conditions may be applied that must either be rectified before settlement or transferred as an obligation to the incoming sublease holder.

Step 2 – Receive the Approved Inspection Report

Once the review is complete, NCL will issue an Approved Pre-Sublease Transfer Inspection Report.

This report:

  • Documents the property's condition
  • Identifies any conditions or rectification requirements
  • Provides the foundation for the legal transfer process

An approved report is required before Rio Tinto can review a transfer request.

Step 3 – Submit Transfer Request to Rio Tinto

The seller must complete and submit:

FRM-CAF-032 – Consent to Transfer a Sublease / Underlease

together with:

  • The approved Pre-Sublease Transfer Inspection Report
  • Supporting information requested by Rio Tinto

Step 4 – Rio Tinto Review and Legal Documentation

Rio Tinto reviews the application and, where approved, instructs its legal representative to prepare the transfer documentation.

The legal process includes:

  • Preparation of transfer deeds
  • Review and approval by Rio Tinto
  • Execution by buyer and seller
  • Ministerial Consent application
  • Final legal review and execution

Additional legal fees may apply where special conditions or amendments are required.

Step 5 – Ministerial Consent

Ministerial Consent is required before the transfer can be completed.

The conveyancer is responsible for obtaining Ministerial Consent in accordance with Northern Territory Government requirements. This is a statutory requirement that ensures government oversight of sublease transfers.

 

Step 6 – Registration and Completion

After all deeds have been executed:

  1. The conveyancer registers the transfer with Crown Lands.
  2. A Registration Statement is issued by the Northern Territory Land Titles Office.
  3. The Registration Statement is provided to Rio Tinto or its legal representative.
  4. The transfer process is finalised.

The workflow begins with property compliance preparation, moves through NCL inspection and approval, Rio Tinto review and legal documentation, Ministerial Consent, and concludes with Crown Lands registration and completion.
